Terms of Service
Last updated October 10, 2026. These terms apply when you use the Prysm website and the Prysm app. We’ve kept them as plain as we can.
These terms are a draft and have not yet been reviewed by a lawyer. Bracketed items are placeholders we will fill in before relying on them.
The agreement
These terms are an agreement between you and [LEGAL ENTITY] (“Prysm”, “we”, “us”). If you use Prysm for an organization, you agree on its behalf and confirm you’re allowed to. If your organization has signed a separate agreement with us, that agreement wins where the two differ.
Accounts and organizations
You need an account to use the app. Keep your sign-in details safe, and tell us if you think someone else has access. Each organization’s admins control who can join and what they can do. Each person can create one free Spark organization.
Plans, seats and payment
Paid plans are priced per seat, per month, as shown on our pricing page, with annual or monthly billing. A seat is a member who can edit and use Juno; view-only members are free up to your plan’s allowance. Plan limits, such as seats and AI allowances, apply as described on the pricing page.
[PAYMENT, RENEWAL, TAX AND REFUND TERMS]
Acceptable use
Don’t use Prysm to break the law, infringe others’ rights, send spam or malware, attack or probe systems you don’t own, get around plan limits or security controls, or interfere with other customers. We may remove content or limit access that breaks these rules.
Your content
You own what you and your organization put into Prysm. You give us permission to host, process and display it only as needed to run the service for you. You’re responsible for having the rights to the data you connect and upload.
AI features
Juno can take actions in your workspace. Destructive actions, such as deletes, runs and deploys, always wait for a person’s approval, and you’re responsible for what you approve. AI output can be wrong; review it before you rely on it.
Scripts and endpoints
You’re responsible for the code you write and publish, the endpoints you expose and the API keys you issue. Scripts run in a sandbox with the capabilities and network access you grant. Endpoint traffic is subject to your plan’s rate limits.
Connected services
When you connect a database, API or other service, your use of it is also governed by that service’s terms. We aren’t responsible for services we don’t operate.
Availability
We work to keep Prysm available. Aurora and higher plans include an uptime commitment as stated on the pricing page; its terms are [SLA TERMS]. Other plans are provided without an uptime commitment.
Suspension and termination
You can stop using Prysm at any time. We may suspend or end access for serious or repeated breaches of these terms, or where the law requires it, and will give notice when we reasonably can.
Disclaimers
Except as stated in these terms or a separate agreement, Prysm is provided “as is”, without warranties of any kind, to the extent the law allows.
Limitation of liability
To the extent the law allows, neither side is liable for indirect or consequential losses, and our total liability is limited to [LIABILITY CAP].
Changes
We may update these terms. We’ll post the new version here, update the date at the top and give customers notice of material changes before they take effect.
Governing law
These terms are governed by the laws of [COUNTRY / STATE], and disputes will be resolved in [COURTS / VENUE].
